These Affiliate Program Terms of Service ("Affiliate Terms") govern your participation in the Aperiodic affiliate program (the "Program") operated by Aperiodic Limited, a company incorporated in Ireland (registered number 815273, with its registered office at 136 Capel Street (Venture Hub), Dublin Dublin D01 T2C9,Ireland) ("we", "us", "our", or "Aperiodic") in connection with our website located at aperiodic.io (the "Site") and the services we provide (the "Service"). By enrolling in or participating in the Program, you ("you", "your", or "Affiliate") agree to be bound by these Affiliate Terms. If you do not agree with these Affiliate Terms, please do not enroll in or participate in the Program.
The Program is administered through Tolt, a third-party affiliate management platform ("Tolt"). Your use of the Tolt platform is additionally subject to Tolt's own terms of service and privacy policy.
These Affiliate Terms supplement, and are in addition to, our Terms of Service and Privacy Policy, which are incorporated herein by reference. In the event of a conflict between these Affiliate Terms and our Terms of Service with respect to the Program, these Affiliate Terms control.
To participate in the Program, you must register through our affiliate platform and be approved by us. To be eligible, you must:
We may accept or reject any application at our sole discretion, and we may suspend or terminate your participation at any time as described in these Affiliate Terms.
You and Aperiodic are independent contractors. Nothing in these Affiliate Terms creates a partnership, joint venture, agency, franchise, employment, or fiduciary relationship between the parties. You have no authority to make or accept any offers or representations on our behalf, and you will not make any statement, whether on your site or otherwise, that contradicts or violates these Affiliate Terms.
Upon approval, you will receive a unique affiliate link and/or referral code through Tolt. You are responsible for ensuring your affiliate links are correctly implemented.
The specific commercial terms that apply to your participation, including your commission rate, the attribution (cookie) window, and the commission period, are those set out in your affiliate account within Tolt (your "Program Details"), as may be updated from time to time in accordance with Section 10. Your Program Details are the binding and authoritative statement of these values for your participation and prevail over any general description or example given in these Affiliate Terms. Different affiliates may be offered different Program Details, and your Program Details are confidential as described in Section 9.
Subject to these Affiliate Terms, you will earn a commission at the rate set out in your Program Details on the net subscription revenue actually received by Aperiodic from a qualifying customer that you refer (a "Qualifying Sale"). Commissions are payable on each successful subscription payment made by the referred customer during the commission period set out in your Program Details, measured from the date of that customer's initial Qualifying Sale; after the commission period ends, no further commissions accrue for that customer. Commissions remain subject to Sections 4.3 and 8.
"Net subscription revenue" means the amount actually paid by the referred customer for the Service, excluding taxes (such as VAT or sales tax), payment processing fees, discounts, credits, refunds, and chargebacks.
A sale qualifies for commission only if:
Commissions are not payable on your own purchases or on purchases made through accounts you own or control (see Section 6).
Commissions are initially recorded as pending. A commission becomes payable only after a clearing period (by default, 30 days from the date of the corresponding payment, unless a different period is specified in your Program Details or otherwise notified to you), to account for refunds, cancellations, and chargebacks. If a transaction is refunded, reversed, or charged back at any time, the associated commission will be cancelled and may be deducted from your pending or future earnings. We reserve the right to withhold or adjust commissions that we reasonably believe to be associated with fraudulent, invalid, or policy-violating activity.
You agree to promote Aperiodic honestly, lawfully, and in a manner that reflects positively on the Aperiodic brand. You must clearly and conspicuously disclose your affiliate relationship with Aperiodic wherever you promote the Service, in accordance with applicable laws and regulations (including, where applicable, the U.S. FTC endorsement guidelines and equivalent regulations in your jurisdiction).
You agree not to:
Violation of this Section may result in immediate termination, forfeiture of unpaid commissions, and clawback of previously paid commissions associated with the violation.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Aperiodic name and the brand assets we make available, solely to promote the Service in accordance with these Affiliate Terms and any brand guidelines we provide. You acquire no ownership rights in our trademarks or brand assets, and all goodwill arising from your use inures to our benefit. You may not modify our brand assets or use them in a manner that is misleading or disparaging. We may revoke this license at any time, and you must promptly cease use upon termination or our request.
These Affiliate Terms remain in effect while you participate in the Program. Either party may terminate participation at any time, for any reason, with or without notice. Upon termination:
Sections relating to intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law shall survive termination.
We may provide you with non-public information in connection with the Program, including reporting data, program materials, and your Program Details (such as your specific commission rate, attribution window, and commission period, and any bespoke commercial terms we agree with you). You agree to keep such information confidential and to use it solely for the purpose of participating in the Program, and not to disclose it to any other affiliate or third party. This obligation will survive the termination of your participation.
We reserve the right to modify, suspend, or discontinue the Program, or to change these Affiliate Terms and your Program Details, including commission rates, the commission period, the attribution window, clearing periods, payout thresholds, and eligibility criteria, at any time. We will make reasonable efforts to notify you of material changes via email or through the affiliate platform. Changes apply prospectively to referrals and commissions arising after the effective date of the change. Your continued participation after the changes take effect constitutes acceptance of the revised Affiliate Terms and Program Details.
The Program and the affiliate platform are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Program, affiliate links, or tracking will be uninterrupted or error-free, or that every referral will be tracked or attributed. We make no guarantee regarding the amount of commissions you may earn, if any.
To the fullest extent permitted by applicable law, in no event shall Aperiodic, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or anticipated commissions, arising out of or in connection with the Program. Aperiodic's total liability to you for any claim arising from or related to the Program shall not exceed the total commissions paid or payable to you during the three (3) months preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless Aperiodic and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with: (a) your participation in the Program; (b) your promotional methods, content, websites, or communications; (c) your breach of these Affiliate Terms; or (d) your violation of any applicable law or third-party right.
The Program relies on Tolt for enrollment, tracking, reporting, and payouts. We are not responsible for the availability, accuracy, or actions of Tolt or any other third-party provider, including any delay, error, or failure in tracking or payment caused by such providers. Your use of Tolt is subject to Tolt's own terms and privacy policy, and you consent to the sharing of relevant data between Aperiodic and Tolt for the purpose of operating the Program.
These Affiliate Terms shall be governed by and construed in accordance with the laws of Ireland. Any disputes arising from or relating to the Program shall be subject to the exclusive jurisdiction of the courts of Ireland.
If any provision of these Affiliate Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Affiliate Terms shall remain in full force and effect.
These Affiliate Terms, together with your Program Details, our Terms of Service, and our Privacy Policy, constitute the entire agreement between you and Aperiodic with respect to the Program and supersede all prior or contemporaneous communications and proposals, whether oral or written, regarding the Program.
