We offer team accounts that allow multiple users to access the Service under a shared workspace. The team account owner is responsible for managing team members, assigning roles, and ensuring all team members comply with these Terms. Team account usage is subject to the permissions and roles assigned within the team, and the team account owner bears responsibility for all activities conducted under the team account.
We offer subscription plans at various tiers, which are processed through third-party platforms such as Stripe. By subscribing, you agree to pay the subscription fees associated with your chosen plan.
Failure to pay the subscription fees may result in suspension or termination of your access to the Service.
All subscription fees are non-refundable. By subscribing, you acknowledge that access to the Service and its data begins immediately upon purchase, and that data downloaded during your subscription period cannot be returned. You may cancel your subscription at any time to prevent future billing, but no refunds will be issued for the current or any prior billing period.
Subject to your compliance with these Terms and your active subscription, Aperiodic grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the data provided through the Service, subject to the license type associated with your subscription tier:

You may create internal analyses, reports, and derived works using the data for your own use consistent with your license type. However, you may not distribute derived works that would effectively allow third parties to reconstruct or substitute for the original data.
Purchased data aggregates, microstructure metrics, and other Service components can be accessed through our Site (aperiodic.io or an alternate URL owned by Aperiodic), APIs, or other delivery mechanisms as specified in your subscription plan, for the duration of an active subscription.
Access to our APIs and data delivery systems is subject to rate limits and fair use policies as published on our Site or communicated to you. We reserve the right to throttle or suspend access if we determine that your usage patterns are excessive, abusive, or likely to degrade the Service for other users.
You agree to use our APIs and technical infrastructure only for their intended purposes. You shall not attempt to reverse engineer, decompile, or disassemble any part of our Service, APIs, or underlying systems.

Both parties agree to keep confidential any proprietary information disclosed by the other party in connection with the Service. This obligation will survive the termination of this agreement.
The data and analysis provided by Aperiodic are based on historical market data. Past performance is not indicative of future results. Aperiodic makes no representations or warranties regarding the accuracy or completeness of any third-party data provided through the Service. While we strive to ensure the accuracy and reliability of data we transform or derive, Aperiodic will not be liable for any inaccuracies or errors in the original data supplied by third parties, including exchange data feeds.
Not Financial Advice. Our curated data aggregates and microstructure metrics are intended as professional market data tools to support research and decision-making processes. The data and analyses provided are based on comprehensive historical market data and sophisticated processing. However, this information should not be construed as financial advice, investment recommendations, or solicitations to buy, sell, or hold any financial instrument. We recommend consulting with qualified financial professionals before making any financial decisions. You are solely responsible for your own investment decisions and any resulting gains or losses.
Data Accuracy. While we employ enterprise-grade quality assurance and validation processes, market data inherently involves complexities including exchange outages, data feed interruptions, and varying data formats across venues. We make commercially reasonable efforts to detect and correct data anomalies but do not guarantee that the data is free from errors or omissions.
We strive to maintain continuous availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime. We shall not be liable for any loss or damage arising from Service unavailability.
To the fullest extent permitted by applicable law, in no event shall Aperiodic, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, trading losses, or other intangible losses, arising out of or in connection with your use of the Site or Service.
Aperiodic's total liability to you for any claim arising from or related to the Service shall not exceed the amount paid by you for the Service in the twelve months preceding the claim.
You agree to indemnify, defend, and hold harmless Aperiodic and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with: (a) your use of the Service or the data obtained through it; (b) your violation of these Terms, including any data licensing restrictions; (c) your violation of any third-party rights; or (d) any financial decisions made based on data obtained through the Service.
This agreement shall be governed by and construed in accordance with the laws of Germany. Any disputes arising from this agreement shall be resolved in the courts of Germany.
This agreement has a minimum contract period corresponding to your subscription term (monthly or yearly). Either party may terminate this agreement after the completion of the minimum contract period with thirty (30) days' written notice. Upon termination, your access to the Service will be revoked, any outstanding fees will become immediately due, and you must cease all use of data obtained through the Service except to the extent permitted by your license type for data already downloaded during the active subscription period. Sections relating to intellectual property, data licensing restrictions, confidentiality, limitation of liability, indemnification, and governing law shall survive termination.
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to natural disasters, acts of government, power failures, internet or telecommunications failures, exchange outages, data feed interruptions, cyberattacks, pandemics, or other force majeure events.
Aperiodic reserves the right to modify these Terms at any time with one month's notice. Clients will be notified of any changes via email and our website. Continued use of the Service constitutes acceptance of the revised Terms.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect.
These Terms, together with the Privacy Policy and any other agreements expressly referenced herein, constitute the entire agreement between you and Aperiodic with respect to the Service and supersede all prior or contemporaneous communications and proposals, whether oral or written.
